Objectives of the Course

The objective of the course is to determine the legal problems encountered in the management and representation of commercial enterprises and to create an infrastructure for their solutions. It is aimed to provide competence to candidates who have career goals in the management and representation of national and international enterprises by comparing national provisions on commercial enterprise law and partnership law with other legal systems.

Course Content

Within the scope of the course, the concepts of commercial enterprise and partnership, types of partnerships and their general characteristics will be discussed first. National and foreign legal regulations regarding commercial representatives, commercial agents and marketing personnel, which are among the dependent merchant assistants in commercial enterprise law, will be examined. Similarly, independent merchant assistants consisting of agents, brokers and brokers will be discussed. he provisions regarding management and representation in individual and capital companies, including ordinary partnerships, will be compared with the provisions in national and foreign legal systems. In this context, the management and representation provisions regarding collective companies, limited partnerships, joint stock companies, limited partnerships with capital divided into shares, limited companies and cooperatives will be evaluated respectively.

Learning Outcomes
1.Knows that a commercial enterprise is an asset element belonging to real or legal persons and understands that it is different from the concept of partnership.
2.Recognizes the concept of partnership and its subtypes and can express their general characteristics comparatively.
3.Explains the principles regarding the management and representation of individual companies (collective and limited partnership companies).
4.Notices the principles regarding the management and representation of capital companies (joint stock companies, limited companies and cooperatives) frequently encountered in practice, and can solve problems that may arise regarding the separation and boundaries of duties and authorities.
5.By identifying the needs of the business regarding dependent and independent trader assistance in carrying out commercial activities, may/can determine the rules regarding the framework of the relationship and direct the relationship.

Week 1 - Theoretical
Introduction to the course, the concept of commercial enterprise and its legal nature
Week 2 - Theoretical
The concept of partnership, types of partnerships, general characteristics, comparisons with each other and with national/foreign legal systems.
Week 3 - Theoretical
Commercial representative from dependent trader assistants and comparison of national/foreign law
Week 4 - Theoretical
Comparison of national/foreign law provisions regarding other dependent trader assistants (commercial agents and marketing personnel)
Week 5 - Theoretical
Definition of commercial agent among independent trader assistants, its characteristics, scope and limits of representation authority, rights and obligations, termination of agency relationship, comparison within the scope of provisions in national and foreign legal systems.
Week 6 - Theoretical
Comparison of national and foreign law provisions regarding other independent trader assistants (brokers and commissioners)
Week 7 - Theoretical
Management and representation in ordinary partnerships, management and representation in other relationships without legal personality, comparison of national and foreign law provisions

Management and representation in collective and limited partnerships, comparison of national and foreign law provisions

Establishment of a joint stock company, basic principles, organs, duties and powers of organs, the concept of share, comparison of national and foreign law provisions
