Objectives of the Course

Capital market legislations and regulations consist of capital market law and communiques depending on this law. In this lesson, it is aimed to give basic information about this law and communiques

• Capital Market Law • Registration of securities to the Capital Markets Board of Turkey, public offering and issuing of securities. • Publicly held corporations • Capital Markets Board of Turkey • Operations and institutions in capital market • Auditing and penal liability

Learning Outcomes
1.Explains the concept of capital markets, their operation, and the characteristics of traditional and modern capital market instruments.
2.Analyzes the legal and operational infrastructure of the market in line with the purpose, definition, and scope of the Capital Markets Law.
3.Compares the legal frameworks and establishment requirements for mutual funds and real estate investment funds
4.Evaluates the auditing mechanisms, public disclosure principles, and penal liabilities enforced by the Capital Markets Board (CMB)
5.Interprets corporate governance principles and the TSPB code of professional conduct within the framework of institutional ethics.
