Objectives of the Course

The objective of this course is to introduce students to the fundamental concepts and institutions of commercial law, and to familiarize them with core structures such as commercial enterprises, merchants, the commercial registry, trade names, and unfair competition. Furthermore, it aims to provide theoretical and practical knowledge on corporate structures commonly encountered in the finance, banking, and insurance sectors (specifically joint-stock and limited liability companies), negotiable instruments (cheques, bills of exchange, promissory notes), and commercial contracts, thereby developing students' ability to analyze legal risks and rights in professional life.

Course Content

The concept and sources of commercial law; within the scope of Commercial Enterprise Law: commercial enterprise, commercial transactions, commercial provisions and commercial jurisdiction, the status of merchant, consequences of being a merchant, commercial registry, trade name, business name, unfair competition, commercial books, and current accounts; within the scope of Corporate Law: general provisions of commercial companies, partnerships and corporations (specifically the establishment, operation, and dissolution of joint-stock and limited liability companies); within the scope of Negotiable Instruments Law: characteristics of negotiable instruments, bills of exchange (bills of exchange, promissory notes, cheques), and the legal applications of these instruments in the banking and finance sectors.

Learning Outcomes
1.To be able to explain the fundamental concepts of commercial law, the structure of commercial enterprises, and the legal obligations of being a merchant.
2.To be able to interpret the legal legislation regarding trade names, unfair competition, and commercial books within financial processes.
3.To be able to distinguish the principles of establishment, operation, and dissolution of partnerships and corporations (specifically joint-stock and limited liability companies).
4.To be able to analyze the legal characteristics and conditions of use of negotiable instruments (bills of exchange, promissory notes, cheques) frequently used in the banking and finance sector.
5.To be able to identify legal problems and risks encountered in commercial life and banking applications, and to propose basic-level solutions.
