Objectives of the Course

The aim of this course is to provide students with fundamental knowledge of the core concepts of commercial law, the structure of the Turkish Commercial Code, and the legal regulations governing commercial life. Upon successful completion of the course, students are expected to understand the basic legal processes related to merchants, commercial enterprises, companies, and negotiable instruments law, and to evaluate legal issues that may arise in foreign trade activities.

Course Content

This course covers the fundamental concepts of commercial law, the structure of the Turkish Commercial Code, and the legal regulations concerning commercial enterprises, merchant status, and commercial transactions. In addition, it examines key elements of commercial life, including the trade registry, trade name, trademarks, unfair competition, company law, and negotiable instruments law.

3.Interprets legally the elements related to commercial enterprises, such as the trade registry, trade name, business name, and trademark.
4.Analyzes legal institutions governing commercial life, including unfair competition, commercial books, and current account agreements.
5.Explains the fundamental principles of company law and negotiable instruments law and evaluates legal processes related to foreign trade transactions.

Week 1 - Theoretical
Introduction to Commercial Law: Subject matter of commercial law, sources, and its relationship with other branches of law.
Week 2 - Theoretical
Commercial Law and the Turkish Commercial Code: Structure, fundamental principles, and scope of application of the Turkish Commercial Code.
Week 3 - Theoretical
Concept of Commercial Transaction and Legal Consequences: Identification of commercial acts and application of commercial provisions.
Week 4 - Theoretical
Concept of Merchant: Real persons and legal entities as merchants; acquisition and loss of merchant status.
Week 5 - Theoretical
Legal Consequences of Being a Merchant: Duty of acting as a prudent merchant, commercial customs and usages, and bankruptcy provisions.
Week 6 - Theoretical
Commercial Agents: Dependent and independent commercial assistants.
Week 7 - Theoretical
Trade Registry: Purpose, functioning, registration, and announcement procedures.
Week 8 - Theoretical
Trade Name, Business Name, and Trademark: Protection principles, usage conditions, and legal consequences.

Unfair Competition: Acts of unfair competition, legal and criminal consequences, and protection of competition.

Commercial Books: Keeping, preservation, and evidential value of commercial records.

Current Account Agreement: Concept, elements, operation, and termination.
Week 12 - Theoretical
Concept of Company and General Partnership: General characteristics of companies, formation, and functioning of general partnerships.
Week 13 - Theoretical
Commercial Companies: Fundamental characteristics of general partnerships, limited partnerships, joint-stock companies, and limited liability companies.

Law of Negotiable Instruments: Concept of negotiable instruments; bill of exchange, promissory note, cheque, and general course review.
