Objectives of the Course

The aim of this course is to enable students to gain basic knowledge of commercial enterprises, merchants, companies, and commercial relations, and to evaluate real estate businesses from the perspective of commercial law.

Course Content

The course covers commercial law, commercial enterprises, merchants, trade registry, trade names, unfair competition, commercial books, company types, limited liability and joint-stock companies, franchising, commercial contracts, negotiable instruments, and commercial disputes.

Weekly Detailed Course Contents
Week 1 - Theoretical
Introduction to Commercial Law: The concept of commercial law, commercial life, commercial enterprise, merchant, and the relationship between commercial law and the real estate sector are explained.
Week 2 - Theoretical
Concept of Commercial Enterprise: The elements of commercial enterprise, the distinction between small tradesmen and commercial enterprises, trade name, and commercial activity are discussed.
Week 3 - Theoretical
Merchant and Legal Consequences of Being a Merchant: Natural person merchants, legal entity merchants, merchant obligations, the duty to act as a prudent businessperson, and commercial responsibilities are explained.
Week 4 - Theoretical
Trade Registry and Trade Name: Trade registry, registration, announcement, trade name, business name, and official registration processes for real estate businesses are explained.
Week 5 - Theoretical
Unfair Competition and Commercial Reputation: Unfair competition, misleading advertising, deceiving customers, disparaging competitors, commercial reputation, and fair competition principles in the real estate sector are discussed.
Week 6 - Theoretical
Commercial Books and Document System: The obligation to keep commercial books, invoices, receipts, contracts, record keeping, and document management in real estate businesses are explained.
Week 7 - Practice
Commercial Enterprise Case Evaluation: Students are asked to evaluate the merchant status, trade name, record system, and commercial responsibilities of a sample real estate office.
Week 8 - Theoretical
Introduction to Company Law: The concept of company, partnerships, capital companies, ordinary partnerships, collective companies, limited liability companies, and joint-stock companies are introduced in general terms.
Week 9 - Theoretical
Limited Liability and Joint-Stock Companies: The establishment, partnership structure, capital, management, representation, and liability features of limited liability and joint-stock companies are explained.
Week 10 - Theoretical
Incorporation in Real Estate Businesses: Establishing a real estate office, franchise systems, partnership structures, brand use, branching, and corporate growth processes are discussed.
Week 11 - Theoretical
Commercial Contracts and the Real Estate Sector: Dealership, franchise, service, consultancy, advertising, marketing, and business partnership contracts are examined through real estate sector examples.
Week 12 - Theoretical
Negotiable Instruments and Payment Tools: Promissory notes, checks, bills of exchange, commercial payment tools, bank guarantees, and payment security in real estate transactions are explained at a basic level.
Week 13 - Theoretical
Commercial Disputes and Liability: Commercial receivables, contract disputes, commission disagreements, mediation, litigation process, and commercial risk management are discussed.
Week 14 - Theoretical
General Review and Practical Commercial Law Scenario: The semester topics are reviewed; students are asked to evaluate a sample real estate business in terms of commercial enterprise, incorporation, contracts, and competition.
